1. Acceptance of Terms
By accessing or using Grimoire AI Platform ("Grimoire", "Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Grimoire. By creating an account, accessing the Service, or using any features provided by Grimoire, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you and the organization.
2. Definitions
"Account" means the user account you create to access the Service.
"Content" means any data, text, information, prompts, code, files, images, or other materials uploaded, created, stored, or transmitted through the Service.
"Organization" means a multi-tenant entity created within the Service that may contain multiple users and workspaces.
"Prompt" means any AI prompt, instruction, template, or similar content created, stored, or managed through the Service.
"Service" means the Grimoire AI Platform, including all features, functionality, websites, applications, APIs, and related services provided by Grimoire.
"User" means any individual or entity that accesses or uses the Service.
"Workspace" means a project workspace created within an Organization for organizing and managing Prompts.
"API" means the application programming interface provided by Grimoire for programmatic access to the Service.
"API Key" means the authentication credential used to access the API.
3. Description of Service
Grimoire is a cloud-based platform that enables users to create, organize, version control, share, and manage AI prompts. The Service includes:
- Prompt Management: Create, edit, organize, and version control AI prompts
- Organization Management: Create and manage organizations with role-based access control
- Workspace Management: Organize prompts within project workspaces
- Public Sharing: Share prompts publicly with the community or keep them private
- API Access: Programmatic access to prompts and platform features through REST API
- AI Provider Integration: Connect and integrate with various AI providers
- User Management: Secure authentication, user profiles, and account management
The Service is provided on a software-as-a-service (SaaS) basis and may be accessed through web browsers, mobile applications, or API integrations.
4. Account Registration and Eligibility
4.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information, including:
- A valid email address
- A secure password
- Any other information requested during registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that:
- You are of legal age to form a binding contract
- You have the legal capacity and authority to enter into these Terms
- All information you provide is accurate and truthful
- You will comply with all applicable laws and regulations
4.3 Account Security
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying Grimoire immediately of any unauthorized access or security breach
- Ensuring that your account information remains accurate and up-to-date
Grimoire is not liable for any loss or damage arising from your failure to maintain account security.
5. User Obligations and Acceptable Use
5.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate Laws: Use the Service in violation of any applicable local, state, national, or international law or regulation
- Infringe Rights: Infringe upon or violate any intellectual property rights, privacy rights, or other rights of any third party
- Harmful Content: Upload, create, or transmit any Content that is:
- Illegal, harmful, threatening, abusive, harassing, defamatory, libelous, or invasive of another's privacy
- Contains viruses, malware, or other malicious code
- Designed to interfere with or disrupt the Service or servers
- Contains spam, unsolicited commercial communications, or phishing attempts
- Unauthorized Access: Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
- Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Scraping: Use automated systems (bots, scrapers, crawlers) to access the Service without explicit written permission
- Rate Limiting: Exceed rate limits or attempt to circumvent rate limiting mechanisms
- Impersonation: Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Interference: Interfere with or disrupt the Service, servers, or networks connected to the Service
5.2 Content Responsibility
You are solely responsible for all Content you create, upload, store, or transmit through the Service. You represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to use and authorize Grimoire to use all Content
- Your Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
- Your Content complies with all applicable laws and regulations
- Your Content does not contain any confidential or proprietary information that you do not have the right to disclose
5.3 API Usage
If you use the API, you agree to:
- Use API Keys securely and not share them with unauthorized parties
- Comply with all API rate limits and usage restrictions
- Not use the API to build competing services or products
- Not use the API in a manner that could harm, disable, or impair the Service
- Comply with all API documentation and guidelines provided by Grimoire
5.4 Public Content
If you choose to make Content public, you understand that:
- Public Content may be viewed, accessed, and used by other users
- Public Content may be indexed by search engines
- You grant other users a license to view and use your public Content in accordance with these Terms
- Grimoire is not responsible for how other users use your public Content
6. Intellectual Property Rights
6.1 Service Ownership
The Service, including all software, technology, designs, graphics, text, images, logos, and other materials, is owned by Grimoire or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.
6.2 Your Content Ownership
You retain all ownership rights in your Content. By using the Service, you grant Grimoire a worldwide, non-exclusive, royalty-free license to:
- Store, host, and process your Content as necessary to provide the Service
- Use, reproduce, modify, and distribute your Content solely for the purpose of operating and improving the Service
- Display your Content to you and other users as you direct (e.g., making prompts public)
This license continues for as long as your Content is stored on the Service or until you delete it, except as necessary to comply with legal obligations or enforce these Terms.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Grimoire a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to compensate you.
6.4 Trademarks
"Grimoire" and related logos and marks are trademarks of Grimoire. You may not use these trademarks without prior written permission from Grimoire.
7. Service Availability and Modifications
7.1 Service Availability
Grimoire strives to provide reliable and continuous access to the Service but does not guarantee:
- Uninterrupted or error-free operation
- Availability at all times
- That the Service will meet all your requirements
- That errors will be corrected
The Service may be temporarily unavailable due to:
- Scheduled maintenance
- Unscheduled maintenance or repairs
- System failures or technical issues
- Force majeure events
- Actions by third parties
7.2 Service Modifications
Grimoire reserves the right to:
- Modify, update, or discontinue any aspect of the Service at any time
- Add or remove features, functionality, or capabilities
- Change pricing, plans, or service tiers
- Impose or modify usage limits or restrictions
Grimoire will provide reasonable notice of material changes that adversely affect your use of the Service, except in cases of emergency or security issues.
7.3 Beta Features
Grimoire may offer beta or experimental features. These features are provided "as is" and may be modified or discontinued at any time. Beta features may have limited support and may not be suitable for production use.
8. Subscription Plans and Payment
8.1 Free and Paid Plans
Grimoire may offer both free and paid subscription plans. Features, usage limits, and capabilities may vary by plan.
8.2 Payment Terms
If you subscribe to a paid plan:
- You agree to pay all fees associated with your subscription
- Fees are billed in advance on a recurring basis (monthly or annually)
- All fees are non-refundable except as required by law or as explicitly stated in these Terms
- You are responsible for any applicable taxes
8.3 Price Changes
Grimoire reserves the right to change pricing at any time. Price changes will apply to subsequent billing periods. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
8.4 Payment Failure
If payment fails or your subscription expires:
- Your access to paid features may be suspended or terminated
- Your account may be downgraded to a free plan
- Grimoire may delete your Content after a reasonable notice period
8.5 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of the billing period.
9. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
10. Disclaimers
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE OR CONTENT
10.2 No Guarantees
Grimoire does not warrant or guarantee:
- That the Service will be uninterrupted, secure, or error-free
- That defects will be corrected
- That the Service or servers are free of viruses or other harmful components
- The accuracy, reliability, or quality of any Content, information, or materials obtained through the Service
10.3 Third-Party Services
The Service may integrate with or link to third-party services, websites, or applications. Grimoire is not responsible for:
- The availability, accuracy, or content of third-party services
- Your interactions with third-party services
- Any loss or damage arising from your use of third-party services
11. Limitation of Liability
11.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIMOIRE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR USE
- BUSINESS INTERRUPTION
- LOSS OF GOODWILL OR REPUTATION
ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF GRIMOIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIMOIRE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO GRIMOIRE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11.3 Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, Grimoire's liability shall be limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Grimoire and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your Content or any Content you transmit through the Service
- Your use of the API
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
- Deleting your account through the Service settings
- Contacting Grimoire support
Upon termination, your right to access and use the Service will immediately cease.
13.2 Termination by Grimoire
Grimoire may suspend or terminate your account and access to the Service immediately, without prior notice, if:
- You violate these Terms
- You engage in fraudulent, illegal, or harmful activities
- You fail to pay applicable fees (for paid plans)
- You use the Service in a manner that could harm Grimoire or other users
- Required by law or government authority
- Grimoire discontinues the Service
13.3 Effect of Termination
Upon termination:
- Your right to access and use the Service will immediately cease
- Grimoire may delete your account and Content after a reasonable retention period
- You remain responsible for all fees and charges incurred prior to termination
- Provisions that by their nature should survive termination will survive, including Sections 6 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law)
13.4 Data Export
Before termination, you may export your Content using the Service's export features or API. Grimoire is not obligated to retain your Content after termination.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact Grimoire to attempt to resolve the dispute informally. Grimoire will attempt to resolve disputes in good faith.
14.2 Arbitration
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service may be resolved through binding arbitration in accordance with the rules of an applicable arbitration organization, except that:
- Either party may seek injunctive relief in court to prevent irreparable harm
- Either party may bring claims in small claims court if the claims qualify
14.3 Class Action Waiver
You agree that disputes will be resolved individually and not as part of a class, consolidated, or representative action.
14.4 Jurisdiction
If arbitration is not enforceable, you agree that any legal action shall be brought in the courts located in São Paulo, Brazil, and you consent to the jurisdiction of such courts.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grimoire regarding the Service and supersede all prior agreements and understandings.
16.2 Modifications
Grimoire reserves the right to modify these Terms at any time. Material changes will be notified through:
- Email notification to your registered email address
- Prominent notice on the Service
- Updated "Last Updated" date
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
16.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16.4 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
16.5 Assignment
You may not assign or transfer these Terms or your account without Grimoire's prior written consent. Grimoire may assign or transfer these Terms or its rights and obligations without restriction.
16.6 Relationship
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Grimoire.
16.7 Force Majeure
Grimoire shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or failures of third-party services.
16.8 Notices
Notices to you may be sent to your registered email address or displayed through the Service. Notices to Grimoire should be sent to support@grimoire.tech.
16.9 Language
These Terms may be translated into other languages for convenience, but the English version shall govern in case of any conflict or discrepancy.
